Section 1Acceptance of Terms

By creating an account, accessing the Platform, or using any AetherAI service, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional policies or guidelines incorporated herein by reference.

If you are using the Platform on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms. In that case, "you" refers to both you individually and that entity.

These Terms apply to all users of the Platform, including hosts, renters, and visitors. Additional terms may apply to specific features or services and will be presented to you at the time of use.

Section 2Definitions

As used in these Terms, the following definitions apply:

• "Platform" means the AetherAI website, mobile applications, APIs, and all related services operated by AetherAI Technologies LLC.
• "Host" means a user who lists one or more vehicles on the Platform for rental by Renters.
• "Renter" means a user who books and operates a vehicle listed on the Platform.
• "Booking" means a confirmed reservation of a vehicle by a Renter through the Platform.
• "Trip" means the period beginning when a Renter takes possession of a vehicle and ending when the vehicle is returned to the Host.
• "Fleet Protection Policy" means the commercial insurance policy maintained by AetherAI that provides coverage during active rental periods as described in Section 9.
• "Telematics Data" means GPS location, trip data, driver behavior data, and related information collected through vehicle-installed telematics devices during active Trips.
• "MVR" means a motor vehicle record obtained through a licensed consumer reporting agency reflecting a renter's driving history.

Section 3Eligibility

To use the Platform, you must meet all of the following eligibility requirements:

3.1 General Eligibility

• You must be at least 18 years of age.
• You must have the legal capacity to enter into a binding contract.
• You must not be prohibited from using the Platform under applicable law.
• You must provide accurate, complete, and current information during registration and maintain the accuracy of that information.

3.2 Renter Eligibility

In addition to general eligibility requirements, renters must satisfy all of the following:

• Possess a valid, unexpired driver's license issued by a U.S. state or territory.
• Pass AetherAI's identity verification process, including document verification and biometric liveness check.
• Pass AetherAI's motor vehicle record (MVR) screening with an outcome that meets our carrier's eligibility criteria.
• Maintain valid personal auto insurance that meets AetherAI's minimum coverage requirements, as verified through our insurance verification process.
• Not have been previously suspended or permanently banned from the Platform.

AetherAI reserves the right to deny rental access to any applicant who does not meet our eligibility criteria or whose MVR reflects disqualifying violations as defined by our commercial insurance carrier. Adverse action notices will be provided as required by the FCRA.

3.3 Host Eligibility

• You must be the registered owner of each vehicle you list, or have written authorization from the registered owner to list the vehicle.
• Each vehicle must be properly registered and titled in a U.S. state.
• Each vehicle must meet AetherAI's minimum vehicle standards including year, condition, and equipment requirements.
• You must complete AetherAI's host onboarding process including vehicle inspection documentation.
• You must maintain personal auto insurance on each listed vehicle meeting AetherAI's minimum requirements.

Section 4Account Registration

To access most Platform features, you must create an account. By registering, you agree to:

• Provide accurate, complete, and truthful information during registration.
• Keep your account information current and promptly update it if it changes.
• Maintain the confidentiality of your account credentials.
• Accept responsibility for all activity that occurs under your account.
• Immediately notify AetherAI of any unauthorized use of your account at support@aetheraiapp.com.

You may not create an account on behalf of another person without their express authorization. You may not transfer your account to another person. AetherAI reserves the right to refuse registration or cancel accounts at its discretion.

Section 5Platform Services

AetherAI provides a technology platform that connects vehicle owners (Hosts) with individuals seeking to rent vehicles (Renters). AetherAI is not a vehicle rental company, transportation provider, or insurer. AetherAI's role is limited to:

• Operating the Platform and facilitating connections between Hosts and Renters.
• Processing payments and disbursing payouts.
• Conducting identity verification and MVR screening for Renters.
• Verifying Renter insurance coverage.
• Providing telematics-based trip monitoring and data services.
• Administering the Fleet Protection Policy during active rental periods.
• Providing customer support services.

AetherAI does not own, operate, inspect, or control any vehicle listed on the Platform. AetherAI does not employ Hosts or Renters. The rental agreement is between the Host and the Renter, with AetherAI acting as a facilitating platform.

Section 6Renter Terms

6.1 Booking and Trip Conduct

• You must operate the vehicle personally. Allowing any other person to operate the vehicle is strictly prohibited unless expressly permitted in writing by AetherAI.
• You must operate the vehicle only within the geographic boundaries specified in your booking. Out-of-state travel requires prior approval and may result in additional charges.
• You must comply with all applicable traffic laws and regulations during the Trip.
• You must return the vehicle at the agreed-upon time and location in the same condition as received, subject to normal wear.
• You must report any accident, damage, or mechanical issue immediately through the Platform.

6.2 Mileage and Overage

Each booking includes a daily mileage allowance as specified in the booking details. Mileage is measured by the vehicle's telematics device from trip start to trip end. Mileage in excess of the included allowance is billed at the per-mile overage rate specified in your booking, automatically charged to your payment method at trip close.

6.3 Fuel

You are responsible for returning the vehicle with the same fuel level as at the start of the Trip. Failure to do so will result in a refueling fee charged to your payment method.

6.4 Damage Responsibility

You are responsible for any damage to the vehicle that occurs during your Trip that is not covered by the Fleet Protection Policy, including damage resulting from prohibited use, intentional acts, or violations of these Terms. You authorize AetherAI to charge your payment method for any such amounts.

6.5 Telematics Consent

By completing a booking, you consent to the collection of Telematics Data during your Trip as described in our Privacy Policy. Telematics Data is used for mileage billing, geographic compliance monitoring, driver behavior scoring, and insurance compliance purposes.

Section 7Host Terms

7.1 Vehicle Listings

• All vehicle information in your listing must be accurate, complete, and current.
• Vehicles must be clean, in good working condition, and meet all applicable safety standards at the time of each rental.
• You must promptly update your listing if the vehicle's condition, availability, or specifications change.
• You must disclose any known mechanical issues, damage, or limitations that would affect the Renter's use of the vehicle.

7.2 Vehicle Availability

You are responsible for maintaining accurate availability on your listing calendar. Repeated last-minute cancellations may result in listing suspension or account termination.

7.3 Telematics Devices

AetherAI requires that a GPS telematics device be installed and operational in each listed vehicle. You agree to maintain the device in good working condition and to promptly report any device malfunction to AetherAI. Disabling, removing, or tampering with telematics devices is a material breach of these Terms.

7.4 Host Payouts

Host earnings are calculated based on the booking rate less AetherAI's platform fee as disclosed in your host dashboard. Payouts are processed according to the payout schedule described in your host agreement. AetherAI reserves the right to withhold payouts pending resolution of damage claims, disputes, or compliance issues.

Section 8Fees and Payments

8.1 Renter Fees

Renters are charged the following fees in connection with bookings:

8.2 Payment Authorization

By completing a booking, you authorize AetherAI to charge your payment method for all applicable fees, including post-trip charges for mileage overage, late returns, refueling, and damage. All payments are processed by Stripe. AetherAI does not store payment card data.

8.3 Refunds

Refund eligibility for cancelled bookings is governed by the cancellation policy disclosed at the time of booking. AetherAI reserves the right to issue refunds at its discretion in cases of documented platform error or vehicle unavailability attributable to the Host.

Section 9Insurance and Liability

9.1 Fleet Protection Policy

AetherAI maintains a commercial Fleet Protection insurance policy that provides the following coverage during active, platform-confirmed rental periods:

Coverage under the Fleet Protection Policy is subject to all terms, conditions, exclusions, and limitations of the underlying policy. Coverage does not apply during periods when the vehicle is not on an active, platform-confirmed rental.

9.2 Coverage Exclusions

The Fleet Protection Policy does not cover, and AetherAI is not liable for, losses arising from:

• Use of the vehicle by any person other than the verified Renter.
• Use of the vehicle for prohibited purposes as defined in Section 10.
• Intentional damage or criminal acts.
• Driving under the influence of alcohol or controlled substances.
• Use of the vehicle outside the approved geographic area without prior authorization.
• Mechanical breakdown or wear and tear not resulting from a covered accident.
• Personal property left in the vehicle.

9.3 Renter Insurance Requirement

Renters are required to maintain personal auto insurance meeting AetherAI's minimum coverage requirements as a condition of platform eligibility. AetherAI verifies insurance coverage through a consumer-permissioned verification process prior to the first booking and periodically thereafter.

Section 10Prohibited Conduct

The following conduct is strictly prohibited on the Platform and during any Trip. Violation may result in immediate account suspension, permanent ban, and civil or criminal liability:

10.1 Prohibited Vehicle Uses

• Using the vehicle for any commercial transportation of passengers for hire (e.g., rideshare, taxi).
• Using the vehicle for commercial delivery services.
• Using the vehicle to transport illegal substances or contraband.
• Using the vehicle in any race, competition, or speed test.
• Using the vehicle off-road or on unpaved surfaces not reasonably accessible by normal driving.
• Towing or pushing another vehicle without prior written authorization.
• Allowing any unauthorized person to operate the vehicle.
• Operating the vehicle while impaired by alcohol, drugs, or medication.
• Driving outside the authorized geographic area without prior approval.

10.2 Prohibited Platform Conduct

• Providing false, misleading, or fraudulent information in your account, listing, or during verification.
• Circumventing or attempting to circumvent the Platform's verification or payment systems.
• Using the Platform to facilitate any transaction that violates applicable law.
• Harassing, threatening, or abusing other users.
• Scraping, reverse engineering, or attempting to access Platform systems or data without authorization.
• Creating multiple accounts to circumvent suspensions or bans.
• Tampering with, disabling, or removing telematics devices.

Section 11Intellectual Property

The Platform, including all software, content, trademarks, logos, and other intellectual property, is owned by AetherAI Technologies LLC or its licensors. Nothing in these Terms grants you any ownership interest in the Platform or AetherAI's intellectual property.

Subject to your compliance with these Terms, AetherAI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purpose. You may not copy, modify, distribute, sell, or lease any portion of the Platform or its content without prior written consent from AetherAI.

By submitting content to the Platform (including vehicle photos, reviews, or messages), you grant AetherAI a worldwide, royalty-free, non-exclusive license to use, display, and distribute that content in connection with operating and promoting the Platform.

Section 12Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

AETHERÀI DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. AETHERÀI DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT ON THE PLATFORM.

AETHERÀI IS NOT RESPONSIBLE FOR THE CONDITION, SAFETY, LEGALITY, OR FITNESS OF ANY VEHICLE LISTED ON THE PLATFORM. YOUR USE OF THE PLATFORM AND ANY VEHICLE OBTAINED THROUGH IT IS AT YOUR OWN RISK.

Section 13Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AETHERÀI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM.

IN NO EVENT SHALL AETHERÀI'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO AETHERÀI IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, AetherAI's liability is limited to the fullest extent permitted by law.

Section 14Indemnification

You agree to defend, indemnify, and hold harmless AetherAI Technologies LLC and its officers, directors, employees, agents, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of or inability to use the Platform.
• Your breach of these Terms.
• Your violation of any applicable law or regulation.
• Your negligence or willful misconduct during a Trip.
• Any claim by a third party arising from your conduct as a Host or Renter.
• Any content you submit to the Platform.

Section 15Dispute Resolution

15.1 Informal Resolution

Before initiating any formal dispute, you agree to contact AetherAI at support@aetheraiapp.com and attempt to resolve the dispute informally. AetherAI will attempt to resolve most disputes within 30 days of receiving notice.

15.2 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, except as provided in Section 15.3 below.

Arbitration shall be conducted on an individual basis. You waive any right to participate in a class action lawsuit or class-wide arbitration. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

15.3 Exceptions to Arbitration

Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights or to address an imminent threat of harm. Small claims court actions within the jurisdictional limits of such court are also excluded from arbitration.

15.4 Opt-Out

You may opt out of the arbitration agreement by sending written notice to AetherAI at the address in Section 19 within 30 days of first agreeing to these Terms. Your opt-out notice must include your name, account email, and a clear statement that you are opting out of arbitration.

Section 16Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. For disputes not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Dallas County, Texas.

Section 17Termination

AetherAI may suspend or terminate your account and access to the Platform at any time, with or without notice, for any reason including violation of these Terms, fraudulent activity, or conduct that AetherAI determines poses a risk to the Platform or its users.

You may terminate your account at any time by contacting support@aetheraiapp.com. Account termination does not relieve you of obligations incurred prior to termination, including outstanding payments, damage claims, or pending disputes.

Upon termination, all licenses granted under these Terms immediately terminate. Sections that by their nature should survive termination (including Sections 8, 12, 13, 14, 15, and 16) shall survive.

Section 18Changes to Terms

AetherAI reserves the right to modify these Terms at any time. When we make material changes, we will notify you by:

• Sending an email to the address associated with your account at least 14 days before changes take effect.
• Displaying a prominent notice on the Platform indicating that the Terms have been updated.
• Updating the "Last Updated" date at the top of this document.

Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Platform and may request deletion of your account.
